How much should a data room cost for a seed round?

What founders actually pay for a data room in 2026, how the main pricing models differ, and the budget that makes sense for a seed raise.

Data room pricing is confusing because three different industries sell the same words. Enterprise virtual data rooms were built for M&A and price accordingly. Document-tracking tools price per seat. Newer founder-first tools price per plan. For a seed round, the difference is roughly $200 versus $20,000.

The three pricing models

  • Per page or per GB (legacy M&A VDRs): historically $0.40–$0.85 per page, or a few hundred dollars per GB per month. Designed for a banked process with thousands of documents.
  • Per seat or per viewer (document tracking tools): typically $15–$65 per user per month, with the branding, watermarking and NDA features on the upper tier.
  • Per plan (founder-first tools): one flat price for the account, unmetered viewers. Usually $8–$50 per month equivalent.

What a seed raise actually needs

A seed data room is 10–25 documents and 30–80 viewers over about four months. You need viewer identity, per-page analytics, watermarking, link expiry, and the ability to revoke. You do not need Q&A workflows, bidder groups, or redaction tooling.

That means the per-page and per-GB models are simply the wrong shape: you're buying M&A process management to share a deck. And the per-viewer models punish you for the thing you want most — more investors opening the room.

A sensible budget

  • Pre-seed / friends and family: $0–$120 for the whole raise. A free tier plus watermarking is enough.
  • Seed: $100–$250 for the raise. Expect branded rooms, dynamic watermarking, per-viewer analytics, and NDA gating.
  • Series A: $250–$900. You'll want multiple rooms, team seats, and CSV analytics exports for the board pack.

If you are being quoted four figures for a seed data room, you are being sold an M&A product. If your bill scales with how many investors read your deck, you are being charged for your own fundraising momentum.

Hidden costs to check before you sign

  1. Per-viewer overage: some plans meter unique viewers per month.
  2. Branding paywall: custom logo and domain often sit two tiers up.
  3. Watermark paywall: dynamic, viewer-identified watermarks are the classic upsell.
  4. Annual lock-in: a raise lasts a quarter; a 12-month contract does not match it.
  5. Export limits: getting your own analytics out as CSV is sometimes a paid feature.
